This Agreement sets out the principal terms upon which Intech Hotel Solutions Pvt. Ltd.(hereinafter referred as “Intech”) And The registering agency and the name on this Galileo Budget Hotels registration page (hereinafter referred as “TRAVEL AGENT”) will use GALILEO BUDGET HOTELS (GBH) to access Intech’s supply partners live inventory for the purpose of checking availability, selling. This document is intended to be binding upon the aforesaid parties. Parties understand that this communication and all information exchanged by the parties are confidential and will not be disclosed to any third party.

Scope
Intech will ensure access is provided to TRAVEL AGENT through Galileo so as to enable them to act as distributors of third party products (hotel rooms, etc.), through the online booking and reservation system designed, implemented and operated by Intech.
Intech provider participation
All Intech serviced accommodation and non-serviced accommodation providers (i.e., the above mentioned third party product providers) shall be included and made accessible to TRAVEL AGENT.

Charges and Pricing

1. Intech will provide TRAVEL AGENT a retail rate which is commissionable inclusive of any applicable taxes.
2. Intech will pay to TRAVEL AGENT a commission of 10% of the booking value.
3. Intech will automatically opt-in all of its providers into the GALILEO BUDGET HOTELS (GBH), although Intech makes no guarantees as to how many providers will always be available in the channels. TRAVEL AGENT acknowledge that such third party accommodation providers are able to opt-out of GALILEO BUDGET HOTELS (GBH), if they so determine without any liability towards either TRAVEL AGENT or Intech.

Rates & Availability

1. TRAVEL AGENT will use Galileo Budget Hotels (GBH) to check real time availability and pricing for Booking and work on GALILEO BUDGET HOTELS (GBH)
2. Intech will supply TRAVEL AGENT with a retail rate which is inclusive of all applicable taxes at the time of request, as described above.

Process Bookings

1. Collecting money from the customer will be the sole responsibility of TRAVEL AGENT & its Offices.
2. At the time of booking TRAVEL AGENT will use credit card to make online booking & payment on the Intech payment gateway.
3. Intech will provide the rates which is inclusive of all applicable local taxes, However if there is any additional tax which is applicable on the retail rate through TRAVEL AGENT to the customer then calculating and collecting will be the sole responsibility of the TRAVEL AGENT.
4. TRAVEL AGENT will operate as a Principal and will raise invoice and any applicable documentation as may be desired by customer. However a booking confirmation will be send by Intech through GALILEO BUDGET HOTELS (GBH) to customer.

Settlement

1. Intech will facilitate settlement of payments to accommodation providers
2. TRAVEL AGENT will generate an Invoice for its commission 10% to Intech in 30 days cycle.
3. All the payments will be settled in 30 days Cycle.
4. In calculating the outstanding amount the commission payable to TRAVEL AGENT will be subject to TDS.

Integration
Intech will ensure that it provides access to Galileo Budget Hotels (GBH) through Galileo to TRAVEL AGENT & its staff (if requested) through GBH & to enable them to view, check and sell the inventory of Intech Supplier inventory on a real time.

Intech Responsibilities

1. Daily account management – Intech will manage the day to day enquiries from its providers as they relate to TRAVEL AGENT.
2. Re-housing – In the event of a booking which the provider is unable to accommodate, Intech shall be obligated to facilitate re-housing the guest in satisfactory alternative accommodation, as well as provide for comfortable transport by car for the customers.

Indemnify
TRAVEL AGENT shall indemnify and hold Intech and Galileo completely harmless against any loss, damages, claims, etc. that may occur to Intech or Galileo due to a fault or breach of TRAVEL AGENT.

Independent Contract
This agreement is executed between the Travel Agent and Intech and Galileo shall not be bound by any obligations under this agreement except as may be expressly agreed between Galileo and Intech in writing under a separate agreement.

Confidentiality
Parties hereby Agree to maintain the confidentially of all business information as well as terms of this order form.

Jurisdiction
This agreement shall be subject to exclusive jurisdiction of Delhi courts only.

Execution and Acceptance
This is an online agreement and does not require a physical signature for its acceptance.
